1. Agreement to Terms

These Terms of Service ("Terms") are entered into between you and EloiseAI LLC, a limited liability company ("EloiseAI," "we," "us," or "our") with its registered address at 30 N Gould St, Ste N, Sheridan, WY 82801, which owns and operates the TermVerify platform. By accessing or using TermVerify, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

TermVerify is an informational platform that analyzes mortgage documents (such as Loan Estimates and fee worksheets) using automated software, including third-party artificial intelligence services, and provides educational insights such as grades, fee comparisons, and plain-English explanations. The Service is provided for informational and educational purposes only.

TERMVERIFY IS NOT A LENDER, MORTGAGE BROKER, LOAN ORIGINATOR, HOUSING COUNSELOR, LAW FIRM, OR FINANCIAL ADVISOR. WE DO NOT ORIGINATE, UNDERWRITE, OR FUND LOANS. THE SERVICE DOES NOT CONSTITUTE FINANCIAL, LEGAL, TAX, OR INVESTMENT ADVICE.

3. No Professional Advice

The information provided through TermVerify is for general informational purposes only and should not be relied upon as professional advice. You should consult with qualified professionals (including licensed mortgage professionals, attorneys, and financial advisors) before making any financial decisions. Any reliance you place on information from the Service is strictly at your own risk.

4. Accuracy and Limitations of Automated Analysis

Our analysis is generated algorithmically, without review by a licensed professional, using automated document extraction and comparisons against historical and statistical benchmark data. You acknowledge and agree that:

  • Document extraction may contain errors. You should verify extracted values against your original document.
  • A fee flagged as high may still be legitimate, disclosed, and lawful — market conditions, loan programs, and borrower circumstances vary.
  • A fee that is not flagged may still be worth questioning or negotiating.
  • Benchmark comparisons are based on historical data (such as public HMDA records) and statistical aggregates. They are not live rate quotes and may not reflect current market conditions, your local market, your loan program, or your qualifications.
  • Grades and scores are our own editorial methodology, not an industry standard or a determination of legal compliance.

5. User Accounts and Eligibility

To use certain features of the Service, you must register for an account. You must be at least 18 years old and legally capable of entering into binding contracts. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

6. User Content and Data

By uploading documents to TermVerify, you represent that you have the right to share such documents and that they do not violate any third-party rights. You retain ownership of your documents and may use your analysis reports for any lawful personal purpose. We process your documents solely to provide the Service and in accordance with our Privacy Policy, including automatic deletion of uploaded document files 90 days after upload and retention of de-identified, aggregated benchmark data.

7. Marketplace Features

TermVerify may display offers from licensed loan officers. These offers are provided by independent third parties, not by EloiseAI. We do not endorse, guarantee, or recommend any loan officer or their offers. Any transaction you enter into with a loan officer is solely between you and that party. EloiseAI is not a party to any such transaction and assumes no liability for the actions, products, or services of any loan officer.

8. Payment Terms, Subscriptions, and Refunds

Certain features of the Service require payment. Payments are processed by Stripe under its own terms of service; we never store your full card details.

  • Subscriptions: Premium subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period, and you retain premium access until then.
  • Price changes: We will provide advance notice of any price change, which will take effect at your next renewal.
  • Refunds: Except where required by law, payments are non-refundable, and we do not provide prorated refunds for partial billing periods. If a technical failure on our side prevents delivery of a paid feature, contact us at support@termverify.com and we will remedy the failure or issue a refund for the affected charge.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

We make no representations or warranties regarding the accuracy, completeness, or reliability of any analysis, grade, or information provided through the Service. Loan estimates and financial documents contain complex information that may be subject to change and interpretation.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ELOISEAI LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, or the waiver of certain consumer protections. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law, and nothing in these Terms waives rights that cannot be waived.

11. Indemnification

You agree to indemnify, defend, and hold harmless EloiseAI LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of any third party; or (d) any financial decisions you make based on information from the Service.

12. Dispute Resolution and Arbitration

Before filing any formal claim, you agree to first contact us at support@termverify.com and attempt in good faith to resolve the dispute informally for at least thirty (30) days.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service that is not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Consumer Arbitration Rules. The arbitration shall take place remotely or in Delaware, and judgment on the award may be entered in any court of competent jurisdiction.

YOU AND ELOISEAI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service with a new "Last Updated" date. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.

15. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination (including Sections 9–13) will survive.

16. Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary or severed, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and EloiseAI LLC regarding the Service and supersede all prior agreements and understandings.
